A going concern is bought with the paperwork checked.

Transfers of bars, restaurants, shops and all kinds of businesses in Barcelona. We check the licence and terrace at the City Council, the debts and the turnover, negotiate the lease with the landlord, and nothing is signed unless it is conditional on that lease.

Both sides

Selling or buying in: we're with you until signing.

A transfer has three parties: the one leaving, the one coming in and the landlord. We bring all three to agreement.

Transfer

Transfer your business

  • Valuing the transferWhat your going concern is worth: location, fit-out, licence, lease and turnover.
  • Discreet marketingWe present it to buyers we have already screened, without advertising it to your customers or staff.
  • Paperwork in order before showing itLicence, terrace and tax clearance certificates ready, so the buyer doesn't back out halfway.
  • The landlord, from the startWe talk to them to find out on what terms they will accept the incoming tenant.

Now on our books

Before paying anything

What we check in every transfer.

Most transfers that go wrong do so because of something that could have been checked before the deposit.

  1. ?Is the licence correct? We check it at the City Council: type, authorised activity and whether it can be transferred.
  2. ?And the terrace? It has its own licence and its own procedure. We check it is in force, what it covers and how it passes to the new holder.
  3. ?Does it carry debts? We ask for tax clearance certificates and reflect them in the deposit agreement and the contract.
  4. ?Does it turn over what it claims? We review what the business declares and documents. We don't accept a figure that can't be verified.
  5. ?How long is left on the lease?Term, rent, guarantees and whether it can be assigned or a new one must be signed.
  6. ?What's included in the price?Fit-out, machinery and furniture, in writing in an inventory.

The process

Five steps, and the third is the one that protects you.

The deposit is conditional on the lease. If the landlord doesn't sign, there is no transfer, and it is written down what happens to your money.

Let's talk about your transfer
  1. 01

    Review

Activity and terrace licences, debts, turnover and lease. Before committing money.

  2. 02

    Reservation

A deposit so the business is taken off the market while the review is completed.

  3. 03

    Conditional deposit (arras)

The deposit agreement is conditional on the lease being signed with the landlord and on the business being up to date with payments.

  4. 04

    Lease with the landlord

The current lease is assigned or a new one is signed. We negotiate term, rent and guarantees with the landlord or their managing agent.

  5. 05

    Signing and change of holder

Transfer agreement signed and then the change of name on the licence, which we handle.

The landlord

No landlord, no transfer.

The incoming party will become their tenant, so their signature is essential. Often the landlord has their own managing agent, and our client asks us to support them on that lease too.

  • Assignment of the leaseThe incoming party takes over the current lease, with the remaining term and rent. You need to see what the lease says and give proper notice.
  • New leaseThe landlord signs a new lease with the incoming party. Term, rent, reviews, works and guarantees are negotiated afresh.
  • Do you own the premises? If your tenant wants to transfer the business, we can work for you too: we vet the incoming party and negotiate the lease. See RetailPropietario →

Frequently asked questions

What people ask us about business transfers.

Do you only handle hospitality transfers?

No. Most are bars and restaurants, but we also transfer shops, service businesses and companies. What changes is which licence needs checking.

What if the landlord doesn't agree?

Then there is no transfer. That's why the deposit is conditional on the lease being signed, and what happens to the deposit if it isn't is put in writing.

Is assigning the lease the same as signing a new one?

No. With an assignment, the incoming party keeps the current lease with its term and rent. With a new lease, everything is negotiated again. It depends on what the lease says and what the landlord accepts.

Do the business's debts pass to the incoming party?

Some can. That's why we ask for clearance certificates before signing and set out in the contract who is liable for anything prior to the transfer.

Who deals with the licence when the transfer happens?

We do. We make the preliminary enquiries and meet the City Council's officer so everything is in order. Then we file the change of name and follow the file until the activity is in the new holder's name.

What are your fees?

It depends on the deal and who instructs us. We tell you in writing before we start.
